1. Membership

   • Cancellation: You may cancel your PetPlus membership by calling Customer Care at (800) 844-1427, or through your PetCareRx.com Account. There are no refunds for PetPlus membership fees paid, except as expressly provided in these Terms. If you cancel, you can continue to use PetPlus membership benefits until the end of your paid term.
   • Auto – Renewal. YOU MAY SELECT EITHER A ONE-MONTH OR A ONE-YEAR PETPLUS MEMBERSHIP TERM (“TERM”). YOU WILL BE CHARGED IMMEDIATELY FOR THE INITIAL TERM. FOLLOWING THE INITIAL TERM, YOUR PETPLUS SUBSCRIPTION WILL AUTOMATICALLY RENEW, AND WE WILL CHARGE ANY CREDIT OR DEBIT CARD WE HAVE ON FILE FOR YOU FOR AN ADDITIONAL TERM AT THE FEE THEN IN EFFECT PLUS ANY APPLICABLE TAXES ON A RECURRING BASIS WITHOUT FURTHER NOTICE TO YOU (EXCEPT TO THE EXTENT THAT NOTICE IS REQUIRED BY APPLICABLE LAW) UNLESS AND UNTIL YOU NOTIFY PETCARERX OF YOUR DESIRE TO CANCEL YOUR PETPLUS MEMBERSHIP BY FOLLOWING THE PETPLUS MEMBERSHIP CANCELLATION PROCESS DESCRIBED IN THE PARAGRAPHS ABOVE. To avoid being charged for a new term, you must cancel your membership subscription before the end of the current term. If you cancel, you can continue to use PetPlus benefits until the end of your term.
   • Other Limitations. We reserve the right to accept or refuse PetPlus memberships at our discretion. You may not transfer or assign your PetPlus account or any PetPlus benefits. PetPlus members are not permitted to purchase products for the purpose of resale, rental, or delivery to their customers or potential customers using PetPlus benefits. From time to time, PetCareRx may choose in its sole discretion to add or remove PetPlus benefits. Promotional free trials of PetPlus are limited to one per customer.
   • Fees. The fees for PetPlus are stated in the subscription sign up process. From time to time, we may offer different terms and the fees for PetPlus may vary. The PetPlus membership fee is non-refundable except as expressly set forth in these Terms. Sales, excise or other similar taxes may apply to the PetPlus membership fee. If all credit or debit cards we have on file for you are declined for payment of the applicable fee, your PetPlus membership will be automatically canceled and benefits will end. You may have the ability to sign up for PetPlus thereafter through your PetCareRx account. Your new term will be based on the date that you sign up.
   • Terms and Conditions Changes. We may at our discretion change these PetPlus membership terms or benefits or any aspect of PetPlus that is not material, without notice or liability to you. If any change to these Terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED ENROLLMENT AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THESE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR MEMBERSHIP.
   • Termination by Us. We may terminate your membership or participation in PetPlus at our discretion without notice or liability to you. If we do so, we will give you a full refund for any term that has not yet expired. However, we will not give any refund for termination related to conduct that we determine, at our discretion, violates these Terms or any applicable law, involves fraud or misuse of the membership or participation in PetPlus membership or is harmful to our interests or another user.

2. PetPlus Unlimited Delivery Benefit

   PetPlus Unlimited Delivery (“PetPlus Unlimited Delivery”) benefits are dependent upon inventory availability, available delivery time slots, and in some cases, the delivery address. PetPlus Unlimited Delivery -eligible orders are limited to items sold through the PetCareRx.com site and application. We may also exclude products with special delivery characteristics at our discretion. 3. Guaranteed Savings

   If by the end of the one year of continuous PetPlus Plan membership, you have not achieved a total savings amount on all purchases and services with the PetPlus Plan that is equal to or greater than the cost of the membership fee, you will be eligible for store credit at PetCareRx.com equal to the difference between the amount actually saved and the membership fee, in PetCareRx loyalty points or such other form as determined by PetPlus. You must request this credit within 60 days after the end of the one year membership period to be eligible for the credit at PetCareRx.com. Guaranteed savings request received after the 60-day submission period will not be valid or eligible for store credit. You must be a member for a full year before you will be eligible for any credit under this program. For purposes of calculating your savings, (i) your annual fee will not include any periods during which you participated for free under any promotional offer (such as a one-month free trial or free introductory period), (ii) savings will be determined by subtracting the PetPlus's plan price for all products purchased from PetCareRx non-sale price.

4. Purchase Limitations

   PetPlus-priced quantity limits apply to all members. For each pet enrolled, you may purchase a 12-month supply of each PetPlus product at PetPlus price each year.
   Example:
   If you have enrolled 2 pets in PetPlus, you would then be able to purchase 2 12-month supply's of "Frontline Plus for Dogs" and "Heartgard Plus for Dogs" at PetPlus price. This can be done in a single order of 12-month supply units, 2 orders of 6-month supply units, or 3 orders of 4-month supply units -- each year you are a member.
   
   These limitations apply per product -- not category of products. If you purchased a brand of flea and tick that isn't working so well for your pet, you would still be able to try another brand at PetPlus price.
   
   PetPlus member purchases of excessive quantities when compared to the usual and customary purchases for comparable pet breeds/life stages by our other members are subject to modification or cancellation at our discretion.
   
   A special note: Please understand that these limitations were designed so they would not affect legitimate PetPlus members, but would thwart any unscrupulous members from gaming our membership program.

5. The Participating Retail Pharmacy Network

   PetPlus is not a pharmacy, however PetPlus does provide access to discounted veterinary medications that are identical to those you would obtain through your veterinarian. For mail-order or online purchases, we may partner with other companies, including affiliated companies such as PetCareRx, Inc., to fulfill your order. Many of the prescription medications ordered for your pet are the same ones taken by people and may be available through a retail pharmacy. For its Complete Care version of the PetPlus Plan, PetPlus has partnered with CVS Caremark so that Complete Care members can access the Plan’s wholesale pricing through a CVS Caremark participating retail pharmacy. Drugs manufactured for veterinary use only will not be available from the CVS Caremark pharmacies. In addition, not all CVS Caremark pharmacies may participate in the PetPlus Complete Care version of the PetPlus Plan. 6. Product and Services Information

   The PetPlus Plan covers certain medications that are required by law to be prescribed by a licensed veterinarian, in addition to products that do not require prescriptions. PetPlus cannot provide a prescription medication through the PetPlus Plan without a valid prescription from your pet’s veterinarian. Members registering for the Complete Care Plan have access to all medications on Formulary A as specified on the formulary documents. Members can purchase a one year supply of each medication, annually, per pet, unless otherwise specified on the formulary document. The selection and amount of medications on each Formulary may change at any time without notice to members.
